Service engagements. Work we perform for your business is governed by the invoice terms below and any specific agreement in place with your business. These terms are governed by the laws of South Australia.

Standard WaTo Consulting invoice terms and conditions

1. Invoicing for Services. On or around the end of each month (unless otherwise specified), the Supplier must give the Customer an invoice for Service Charges and any additional charges for the month.
2. Payment by the Customer. The Customer must pay each invoice in full within 7 days (unless specified on the invoice) after the date of the invoice.
3. Interest on overdue amounts. If the Customer does not pay an invoice in full by its due date, the Supplier may charge interest on any overdue amount at the rate of 2% above the prime lending rate of the Customer's principal banker, calculated daily, from the due date until the date of payment. The parties agree that any interest paid under this clause is not a penalty but a reasonable pre-estimate of the loss incurred by the Supplier because of the Customer failing to comply with clause 2.
4. Withholding Services for failing to pay. If the Customer does not pay an amount due under this agreement for more than 30 days after its due date, the Supplier may immediately stop providing Services to the Customer until the Customer pays all outstanding amounts. This is without prejudice to any other remedy that the Supplier may have in relation to this agreement.
5. Retention of title. WaTo Consulting retains the title to all goods covered by an invoice until the amount due is paid in full.
6. Charging Clause. The Customer hereby charges in favour of the Supplier the whole of its right, title and interest in and to all real estate and personal property in which the Customer has any interest, whether acquired as at the date of this agreement or subsequently, in respect of all monies which may fall due for payment by the Customer to the Supplier under this agreement.
7. Tax exclusive. The Service Charges and any other charges payable to the Supplier under this agreement do not include any amount on account of any Tax payable by the Supplier.
8. If Tax is payable. If any supply made under this agreement is subject to Tax, the Customer must pay the Supplier the Service Charge (or other charges) plus the Tax payable by the Supplier, at the same time as the Service Charges or other charges.
